When the company has ceased operation or has not conducted any business since the date of incorporation, the directors and shareholders may consider closing down the company.  Closing down procedures to strike the company name off the Register is simple.

However, the company must satisfy certain criteria for striking off. The company must ensure all accounts and income tax returns to the date of cessation of business have been submitted and no other matters are outstanding, complying with Section 344 of the Companies Act.
